This practical course discusses the main topics that come up when structuring, drafting and negotiating a licensing transaction, including:

  • Pre-contract issues (including term sheets).
  • The licence.
  • Payment terms.
  • Liability issues.
  • Boilerplate clauses.
  • Conclusions.

Level of course

Intermediate – some prior experience of working with licence agreements, or licence terms in research contracts, is desirable. The course focuses on practical aspects and is not a law lecture. (We also run an advanced licensing course, for experienced transactional IP professionals.)
